Terms and Conditions of Service
Revision 2026-10-15
1Scope and acceptance
These Terms and Conditions of Service (Terms) govern vehicle and cargo receiving, handling, container loading, storage, export documentation support, and other services agreed in writing with Jax Auto Shipping LLC (JAX or Company). The contracting Customer is the person or business ordering the services in its own name or as a disclosed, authorized agent. Cargo includes vehicles, motorcycles, boats, machinery, parts, pallets, and other goods accepted by JAX. A Shipment means the Cargo covered by a single accepted loading or service order; for containerized Cargo it means one container and all Cargo in it. A vehicle held before assignment to a Shipment is a separate storage transaction.
Before completing registration and ordering services, the Customer must open and review these Terms through the clearly identified link next to the registration acceptance control. The Customer accepts these Terms by actively selecting the initially unchecked agreement box and clicking “I Agree and Create Account.” Registration cannot be completed without this affirmative acceptance. Acceptance binds the identified Customer to this version for future services accepted by JAX, subject to the order of precedence below. Registration alone does not require JAX to accept any order or Cargo. Merely visiting the website, opening a link, or remaining silent does not constitute acceptance.
These Terms remain accessible for review, saving, and printing through the registration link and Customer portal. Unless applicable law requires otherwise, JAX need not separately email, mail, or personally deliver a copy of these Terms or obtain a paper signature. The accepting person confirms authority to bind the identified Customer and, where acting for a Cargo owner, authority to authorize the services and accept the applicable storage and liability provisions. The Customer is responsible for its authorized account users and for keeping its identity and contact details accurate. JAX may retain the accepted version and an electronic record of the account, date, time, and affirmative acceptance, subject to applicable privacy law.
Mandatory law controls. A service agreement signed by JAX and the Customer controls an expressly identified conflict with these Terms. An accepted written quote controls its stated price and scope; these Terms govern the remaining matters. A third party bill of lading, tariff, or service contract governs that third party service to the extent applicable and lawfully incorporated, but does not automatically replace JAX’s obligations for its separate yard services. Purchase orders and Customer terms do not amend these Terms unless JAX expressly accepts the amendment in writing.
2Services and the Savannah facility
JAX operates its own receiving and loading facility at 289 Telfair Rd, Unit I, Savannah, Georgia 31415. JAX is responsible for the services it performs there under the applicable agreement and law. Services at other locations are performed through independent providers unless a written agreement expressly states otherwise. JAX does not represent other facilities as its own or guarantee their work.
The Customer may supply its own booking. Where booking assistance is expressly agreed, JAX obtains the booking through an independent company holding the applicable NVOCC license; JAX does not obtain vessel-space bookings directly from shipping lines. The scope is limited to services expressly accepted by JAX. Destination customs clearance, unloading, import taxes, inland delivery, repairs, disassembly, reassembly, and marine insurance are excluded unless expressly included. Container capacity depends on dimensions, weight, condition, lawful limits, and safe loading requirements; advertised capacity is not a guarantee for a particular combination of Cargo.
JAX is a service provider and is not a non-vessel-operating common carrier (NVOCC). JAX performs its accepted receiving, handling, loading, storage, and documentation support services; it does not undertake the ocean carriage as an NVOCC under these Terms. Ocean transportation is provided through the independent licensed NVOCC and the ocean carrier identified in the applicable booking and transportation documents. Their applicable contracts govern their services, subject to mandatory law. Relaying a booking confirmation, collecting agreed third party charges, or assisting with communications does not by itself constitute a JAX guarantee of their performance. Any service requiring a license or authority must be performed by a provider holding that authority; these Terms do not create a licensing exemption or alter duties imposed by the role actually undertaken.
3Customer authority and required information
The Customer warrants that it owns the Cargo or has lawful authority from its owner to order the services, authorize handling, and accept the applicable charges and Terms. The Customer must disclose ownership disputes, security interests, liens, stolen-vehicle concerns, and restrictions affecting export or release. JAX may request identity, ownership, lienholder authorization, or other evidence and may refuse or suspend services when authority is uncertain.
The Customer must provide accurate VINs or serial numbers, vehicle condition, dimensions, weight, value, contents, propulsion and battery type, consignee details, destination requirements, and all documents needed for the accepted services. It must promptly correct errors and review documents JAX sends for approval. JAX may reasonably rely on supplied information but remains responsible for its own legally required duties. JAX does not guarantee the accuracy of auction listings or that Cargo meets foreign registration, repair, safety, or import requirements.
4Titles and export documentation
The Customer must timely provide acceptable original ownership documents when required, lien releases, powers of attorney or written AES authorizations, and complete export information. An auction bill of sale or copy of a title is not necessarily sufficient for export. Documentation support does not include a legal opinion on title or export eligibility.
The Customer remains responsible for its own exporter or principal-party obligations, classification and destination information it supplies, and obtaining required authorizations. JAX will perform only the export filing or document tasks accepted in writing. Import customs brokerage, protests, rulings, appeals, and representation before authorities are not included unless separately agreed and lawfully performed.
Loading or dispatch requires the necessary documents, booking, payment, equipment availability, and applicable carrier and port receiving windows. No same-day loading or sailing date is guaranteed. The Customer bears additional charges caused by its missing, inaccurate, late, or rejected documents, or authority processing delays, except to the extent attributable to JAX’s actionable fault under applicable law. A government delay in returning a title does not itself establish fault by JAX.
5Receiving and condition records
JAX may record arrival condition and photograph Cargo during receiving and loading. Such records document what is reasonably visible; they are not a complete mechanical inspection or certification that Cargo is undamaged. Hidden, underside, internal, electrical, structural, and pre-existing auction damage may not be visible. The Customer must disclose special handling requirements and known defects before delivery.
The Customer authorizes reasonable movement within the yard, use of keys, jump starting when appropriate, winching, forklift handling, and container positioning and securing consistent with the accepted service and reasonable care. The Customer must identify lowered suspension, weak lift points, loose panels, damaged frames, modified vehicles, or other vulnerabilities. JAX may require additional equipment or decline an unsafe handling method. Authorization to handle Cargo does not waive responsibility for negligent handling.
Receipt of a non-running vehicle does not include repair or a promise that it will start later. Unless expressly agreed, JAX is not required to maintain batteries, tires, fluids, electronics, or vehicle operability during storage. Reasonable measures to close windows or protect openings do not constitute a guarantee of weatherproofing.
6Loading methods and special equipment
The Customer authorizes safe container loading using timber supports, racks, straps, chains, blocking, or other suitable securing materials selected for the Cargo. Vehicles may be elevated or positioned at angles to use available container space. Loading methods shown on the website are illustrative; actual methods depend on the Cargo and safety requirements.
Disassembly of machinery, removal of wheels, attachments, cabins, or components, cutting, welding, or other material alterations require separate written approval describing the scope and charges. JAX may stop if unforeseen defects or unsafe conditions are found and request revised instructions. Unless expressly included, JAX does not undertake reassembly at destination or guarantee the condition or availability of replacement parts.
7Hazardous and prohibited Cargo
The Customer must disclose electric and hybrid vehicles, lithium batteries, battery damage, fire or flood exposure, fuel leaks, compressed gases, chemicals, and other hazardous conditions before delivery. Cargo must comply with applicable dangerous goods rules and the accepting carrier’s requirements. JAX may reject, isolate, or suspend handling of unsafe or misdeclared Cargo.
Weapons, ammunition, explosives, narcotics, stolen goods, contraband, and goods restricted by export controls or sanctions may not be tendered without lawful authority and express written acceptance where lawful. The Customer must provide required dangerous goods declarations and evidence of eligibility. JAX may notify authorities or take reasonable emergency action. Lawful and reasonable costs caused by Customer’s misdeclaration or hazardous Cargo are chargeable to the Customer, subject to applicable law and JAX’s own responsibility.
8Personal belongings and additional goods
Loose parts, personal belongings, household goods, and other items inside a vehicle or container must be declared in advance on an inventory and accepted by JAX in writing. JAX may require removal, packing, or separate charges. Undeclared goods are not included in a vehicle quote and may cause customs holds, inspections, penalties, or carrier rejection.
The Customer is responsible for lawful contents and accurate declarations. JAX does not provide an inventory or guarantee custody of undeclared contents. Any lawful liability for accepted or undeclared contents is subject to these Terms and mandatory law. Goods will not be treated as waste or discarded solely because they were undeclared; removal, disposal, or other action must be authorized or lawful.
9Quotes and additional charges
A quote becomes binding only when accepted by JAX in writing, including its validity period, scope, assumptions, and payment arrangements. Estimates do not guarantee a final price. An accepted fixed charge for JAX services will not be changed unilaterally for the agreed scope; revised scope or changed assumptions require a written price adjustment. Carrier and other third party charges may change as disclosed in the quote or applicable provider terms.
Unless included in the accepted quote, additional charges may apply for oversized or non-running Cargo, special handling, towing, winching, forklift services, disassembly, repacking, documents, title corrections, customs exams, port charges, freight surcharges, demurrage, detention, storage, booking changes, and destination services. JAX will seek approval before optional additional work when practicable. The Customer authorizes reasonable necessary third party and emergency expenses connected with the accepted services; JAX will provide an explanation and supporting information reasonably available.
Auction pickup service fees, export documentation fees, and loading prices are those stated in the accepted quote. No general website price guarantees a particular Shipment. Destination duties, taxes, unloading, and inland transport remain payable by the Customer unless expressly included.
10Payment and release
Payment must be made in United States dollars by bank deposit, wire transfer, or online payment through the Customer portal (PayPal), unless JAX authorizes another method in writing. Payments must be cleared and available; sending a payment instruction or screenshot is not proof of receipt. The Customer bears transfer charges so JAX receives the invoiced amount. Verify any proposed change of bank details directly with JAX using a previously known telephone number.
Unless otherwise agreed in writing, the entire balance for an ocean Shipment must be paid no later than seven calendar days before the vessel’s estimated arrival at the destination port. JAX may require advance payment, a deposit, or an earlier deadline in the accepted quote or written service agreement. For loading-only, storage, and other services without an ocean Shipment arranged through JAX, payment is due by the agreed invoice deadline and before Cargo release. If a vessel arrival estimate moves earlier, the Customer must pay promptly upon notice. Agreed earlier payment requirements still apply.
Subject to mandatory law and valid lien rights, JAX may suspend further services or withhold release of Cargo or release instructions within its lawful control until amounts lawfully due are paid. JAX does not guarantee the release timing of carriers or destination agents. Additional costs reasonably caused by the Customer’s nonpayment remain chargeable to the Customer. A pending claim does not permit withholding unrelated undisputed amounts.
The Customer ordering in its own name remains responsible even if it asks JAX to bill another party. Owners, consignees, or other persons are liable only when they have assumed payment responsibility or applicable law makes them liable. No personal guarantee is created merely by signing as an authorized business representative. Reasonable collection costs and attorney fees may be recovered only as permitted by applicable law and after required notices.
11Storage fees at the Savannah yard
Vehicles delivered to the JAX Savannah yard for loading through JAX receive free storage while they remain committed to and are ultimately loaded through JAX. This free-storage benefit applies only to JAX’s own Savannah yard and does not waive carrier, port, auction, or other third party charges.
If the Customer cancels JAX loading services, removes a vehicle without loading through JAX, directs its release or transfer to another loading or shipping company, or otherwise elects not to load it through JAX, the first 30 calendar days following receipt are free. Storage is then charged at USD 10 per vehicle per calendar day beginning on day 31, measured from the vehicle’s original receipt date. The charges cover the entire chargeable period, including days before the cancellation or transfer decision, and continue through the physical release date, inclusive. They are not calculated only from the date of cancellation.
The receipt date is day 1. Each vehicle has its own receipt date and calculation. Weekends and holidays count. No storage is charged if a vehicle qualifying under the cancellation or transfer rule is released within the first 30 calendar days. Example: a vehicle released on day 45 after cancellation of JAX loading incurs 15 chargeable days at USD 10, totaling USD 150.
Delivery of a vehicle for storage without an agreed intention to load through JAX is subject to the same first 30 days free and USD 10 per vehicle per day from day 31, unless a different written storage agreement is made before delivery. Storage for boats, machinery, oversized Cargo, pallets, or other non-vehicle goods requires a separate written rate; this vehicle rate is not automatically applied to them.
Vehicles that are actually loaded through JAX retain the free-storage benefit unless the Customer expressly agrees to different storage terms in writing. JAX may request missing documents, a loading plan, or removal of inactive Cargo, and may terminate future storage on reasonable written notice as permitted by law. These Terms do not create an automatic storage charge for a vehicle that remains committed to JAX loading solely because it has been at the yard more than 30 days. Any different future rate must be clearly disclosed and agreed, or imposed only as applicable law permits.
The Customer must pay applicable storage and other amounts lawfully due before release, subject to mandatory law. JAX will provide an itemized calculation. A separate written agreement signed or expressly accepted by JAX may change the storage terms. These Terms do not retroactively impose new charges on Cargo received under different terms without a valid agreement or other lawful basis.
12Storage conditions and third party fees
Unless agreed otherwise, storage is outdoors in a commercial yard. JAX will exercise reasonable care but is not an insurer of Cargo. Exposure to normal weather, dust, temperature changes, and deterioration associated with Cargo condition may occur. Liability for theft, vandalism, storm, flood, fire, or other loss depends on applicable law and whether JAX failed to exercise the required care; such events are not automatically excluded simply because they occurred in storage.
Auction, dealership, towing yard, terminal, port, and carrier storage fees, demurrage, detention, chassis charges, and destination charges are separate from JAX yard storage. The Customer must ensure Cargo is paid for and released by the seller and promptly supply pickup information. Pickup dates are estimates subject to availability. JAX is not automatically responsible for third party storage merely because it assisted with pickup, but remains responsible for its own actionable failure to perform an agreed duty.
JAX may relocate Cargo within its yard. Relocation to an independent storage facility requires Customer authorization or a lawful necessity, including an emergency or lawful termination of storage. JAX will give practicable notice, identify the location and applicable charges, and exercise reasonable care in selecting the provider.
13Bookings and schedule changes
Sailing, loading, transit, and arrival dates are estimates unless a written agreement expressly guarantees a date. Carrier rollovers, equipment shortages, congestion, weather, labor disruption, customs holds, and changes in receiving windows may affect the schedule. JAX will communicate material changes reasonably known to it.
The Customer must supply accurate booking and loading instructions by stated deadlines. JAX may defer unsafe, incomplete, or noncompliant loads. Carrier penalties, rebooking, rehandling, storage, and related charges caused by the Customer’s changes, document problems, or independent carrier or authority decisions are payable by the Customer, except to the extent attributable to JAX’s actionable fault.
14Third party transportation and destination handling
JAX will use reasonable care when selecting independent providers for an agreed coordination service. An independent NVOCC, ocean carrier, motor carrier, forwarder, port, customs broker, warehouse, destination agent, or unloading contractor is responsible for its own services, charges, acts, and omissions. Naming, recommending, or communicating with such a provider does not make JAX its guarantor. To the extent permitted by law, JAX is not vicariously liable for that provider’s loss, damage, delay, insolvency, failure to perform, or additional charges. Claims arising from that provider’s performance must be directed to that provider under its governing documents. This allocation does not exclude a valid claim for JAX’s own breach of an accepted duty or any responsibility imposed by mandatory law.
Responsibility for loss during land or ocean transport, port handling, or destination unloading is determined by the responsible provider contract and applicable law. Departure from the JAX yard does not extinguish an otherwise valid claim for damage caused by JAX’s own earlier negligent loading or securing. The Customer must arrange safe unloading by qualified personnel who inspect the load and use suitable equipment.
JAX may reasonably assist with a third party claim, but is not required to prosecute it, advance settlement funds, or guarantee recovery. Any separately chargeable assistance must be agreed in advance. The Customer must independently protect applicable carrier and insurer deadlines. Mandatory carrier, maritime, and other statutory liability rules prevail over inconsistent provisions of these Terms.
15Government inspections and compliance
Cargo may be inspected, detained, searched, or seized by United States or foreign authorities. The Customer consents to lawful inspections and must cooperate with required documentation. JAX may inspect Cargo as reasonably needed for receiving, safety, or compliance but does not undertake a complete contents inspection unless agreed.
The Customer is responsible for applicable customs examinations, taxes, duties, inspection handling, port storage, demurrage, detention, and other authority-related expenses associated with its Cargo, except to the extent the expense results from JAX’s actionable fault or is otherwise allocated by mandatory law. JAX does not guarantee clearance, document return, seizure release, or an authority decision. The Customer must comply with export controls, sanctions, dangerous goods rules, and destination import laws.
16Cargo insurance and increased liability
JAX IS NOT A CARGO INSURER. Service charges do not include cargo or marine insurance unless insurance is expressly quoted and confirmed in writing. The Customer is responsible for arranging suitable coverage at its own expense for the full Cargo value throughout storage, handling, transit, and unloading, including disclosed salvage condition and applicable exclusions. JAX’s insurance, if any, is not a representation of full-value coverage for Customer Cargo. If the Customer chooses insufficient coverage or no coverage, the uninsured risk remains with the Customer subject only to JAX’s liability established under these Terms and mandatory law; lack of insurance does not increase the agreed liability limit.
Any request that JAX coordinate insurance must be made in writing and accepted in writing before the requested coverage begins. Coverage exists only under the insurer binder or policy and its conditions, deductibles, exclusions, and stated dates. A request, premium estimate, declared Cargo value, or certificate request alone does not establish coverage.
For JAX’s own storage and handling services, the Customer may request an increased liability amount in writing when entering the storage agreement or within a reasonable time afterward, as applicable law permits, and before the event giving rise to loss. JAX will provide the applicable increased-value terms and charges for agreement. Any increase must be documented in writing identifying the Cargo, amount, and effective period. An increased liability amount is distinct from insurance and is not a guarantee of payment without legal liability. A value shown on an export or auction document alone does not increase JAX’s liability.
17Standard of care and responsibility for loss
JAX will exercise the care required by applicable law in performing its accepted services. For its own services, JAX is responsible only for proven direct loss legally attributable to its breach of duty, negligence, or other actionable conduct, subject to the lawful limitations below. JAX is not responsible for pre-existing damage, inherent vice, ordinary deterioration, corrosion, mold, hidden mechanical or electrical defects, battery discharge, defective Customer packing, or damage caused by undisclosed Cargo characteristics or inaccurate Customer instructions, except to the extent caused or aggravated by JAX’s failure to exercise legally required care. JAX does not guarantee continuing operability or a condition better than that at receipt. Theft, fire, weather damage, or an adverse outcome alone does not make JAX an insurer or establish strict liability; applicable duties of care and legal burdens of proof remain in effect.
A claim must distinguish new damage from prior condition and identify the conduct alleged to have caused it. JAX condition records, Customer records, carrier records, inspection reports, and unloading evidence will be considered together. No photograph conclusively proves the absence of hidden damage, and missing unloading video alone does not automatically invalidate a claim.
18Limitation of liability
SUBJECT TO THE EXCEPTIONS BELOW AND ANY WRITTEN INCREASED-LIABILITY AGREEMENT, JAX’S TOTAL LIABILITY FOR ITS OWN STORAGE, HANDLING, LOADING, DOCUMENTATION SUPPORT, AND OTHER NON-CARRIER SERVICES IS LIMITED TO THE LESSER OF THE PROVEN DIRECT LOSS OR USD 500 PER SHIPMENT OR SEPARATE STORAGE TRANSACTION. FOR A CONTAINERIZED SHIPMENT, USD 500 IS THE AGGREGATE LIMIT FOR THE ENTIRE CONTAINER AND ALL CARGO IN IT, NOT USD 500 PER VEHICLE. THE LIMIT APPLIES COLLECTIVELY TO ALL CLAIMANTS AND ALL CLAIMS ARISING FROM THE SAME SHIPMENT OR TRANSACTION, WHETHER ASSERTED IN CONTRACT, ORDINARY NEGLIGENCE, BAILMENT, OR OTHERWISE. SEPARATE INVOICES, SERVICE STAGES, LEGAL THEORIES, OR CLAIMANTS DO NOT MULTIPLY THIS LIMIT.
For physical damage, proven direct loss is the reasonable cost of restoring the affected Cargo to its actual condition immediately before the loss, or its actual value immediately before the loss if repair is uneconomic, without betterment or duplicate recovery. New replacement value, anticipated resale value, and repair costs unrelated to the proven new damage are not the measure of recovery. The applicable cap and mandatory law control.
TO THE EXTENT LAWFULLY PERMITTED, JAX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOSS OF MARKET, LOSS OF USE, OR CUSTOMER PENALTIES. JAX DOES NOT GUARANTEE A PARTICULAR COMMERCIAL RESULT OR TIMING OF RESALE.
These limitations do not exclude or limit liability for JAX’s gross negligence, willful misconduct, fraud, conversion of Cargo to its own use, bodily injury or death, or any liability that applicable law prohibits limiting. The USD 500 amount is a contractual limit for JAX’s non-carrier services, not a statement of the statutory maritime per-package limit. It does not automatically establish a released value or limitation for regulated motor or ocean carriage. If JAX actually undertakes a carrier or other regulated role, that role is governed by mandatory law and any separately valid transportation agreement. Where an increased liability amount is validly agreed, that amount replaces the standard monetary cap for the identified Cargo and period.
The Customer acknowledges that standard charges are based on the limited liability accepted here, rather than the full Cargo value. The Customer has an opportunity to request increased liability under Section 16 and is responsible for arranging Cargo insurance. To the extent permitted by law, the defenses and limits in these Terms also protect JAX’s members, managers, employees, and agents for acts within their JAX duties; their combined liability with JAX does not exceed the applicable aggregate limit. This does not protect independent misconduct outside those duties or override the exceptions above. No personal guarantee is created by these Terms. Nothing relieves JAX of the duty of care required by law.
19Claims and evidence preservation
The Customer and its consignee must reasonably inspect Cargo at receipt and record visible damage on available delivery records. Where safe and practicable, photograph the container number, seal, doors, load, supports, securing materials, and alleged damage before moving Cargo or cutting securing materials. Keep available arrival and unloading video and record who performed unloading. Do not delay urgent safety action to obtain evidence.
Send initial written notice to jaxautoshipping@gmail.com or jaxshipping@yahoo.com promptly, preferably within seven calendar days after discovering the loss. For a claim concerning JAX’s own non-carrier services, provide a written claim within 30 calendar days after discovery, identifying the Customer, VIN or Cargo, container or service order, receipt date, alleged cause, requested amount, photographs, and available delivery and repair records. Information not yet available may be supplemented promptly. These reporting periods are reasonable investigation requirements; a late notice defeats or reduces a claim only to the extent permitted by law and where JAX is materially prejudiced. They are not a universal seven-day or thirty-day statute of limitations.
Allow a reasonable inspection before nonurgent repairs or disposal, preserve damaged items and relevant records when practicable, and mitigate further loss. Emergency repairs to protect persons or prevent further damage may proceed with reasonable documentation. JAX may request estimates and inspect through a qualified representative. Customer dissatisfaction or a quotation alone does not establish the amount of legal liability.
Mandatory claim and suit periods control. In particular, claims subject to 49 U.S.C. Section 14706 may not be contractually restricted to less than nine months for filing a claim or less than two years for suit measured from written disallowance as provided by that statute. Ocean carriage and other regulated services may have different deadlines under their governing documents and mandatory law. These Terms do not shorten any nonwaivable deadline. A courtesy credit or settlement discussion is not an admission of fault.
20Customer indemnification
To the extent permitted by law, the Customer must indemnify, defend, and hold JAX and its members, managers, employees, and agents harmless from third party claims, liabilities, penalties, and reasonable costs, including reasonable attorney fees, arising from the Customer’s false or incomplete information, lack of authority, unlawful or undeclared Cargo, undisclosed dangerous conditions, breach of its obligations, or negligent or wrongful conduct. Covered claims include those by Cargo owners, consignees, insurers, and other interested persons to the extent caused by those matters. The obligation applies only to the portion attributable to the Customer or persons for whom it is legally responsible; it does not shift JAX’s own negligence, gross negligence, willful misconduct, or other nontransferable responsibility to the Customer.
The Customer must also reimburse reasonable, documented additional handling, cleanup, equipment, governmental, storage, and third party costs caused by the matters identified above, subject to the same allocation of responsibility and applicable law. JAX will give reasonably prompt notice of an indemnity claim and reasonable cooperation. The defense must use competent counsel reasonably acceptable to JAX, and no settlement admitting JAX’s fault or imposing nonmonetary obligations on it may be made without its written consent. The Customer must not submit knowingly false claims or altered evidence. The limit on JAX’s liability in Section 18 does not cap the Customer’s payment or indemnification duties.
21Cancellation and refunds
The Customer may request cancellation in writing. It remains responsible for services already performed, applicable storage under Section 11, lawful carrier or third party cancellation charges, and reasonable expenses already incurred or irrevocably committed for the order. JAX will refund any unused advance balance after itemizing the amounts properly retained. JAX will not impose an undisclosed cancellation penalty.
Changes after loading or sealing may require unloading, reloading, new documents, or a new booking, subject to safe feasibility and a written price adjustment. Cancellation does not eliminate accrued payment duties or valid lien rights.
22Liens and unclaimed Cargo
To the extent permitted by applicable law, JAX reserves a possessory warehouse or other lien on Cargo in its lawful possession for storage, handling, preservation, and other charges lawfully secured by that lien. Where legally effective and expressly covered by the storage agreement or receipt, the lien may also secure qualifying charges on other Cargo deposited by the same Customer. It does not automatically bind an unrelated owner or override a superior recorded security interest.
Before exercising enforcement or disposal rights, JAX will identify the applicable legal procedure and give required notices to the Customer, owners, lienholders, and other interested persons. Any sale, foreclosure, towing, transfer, or disposal will comply with applicable Georgia law, including any required court process, waiting periods, sale requirements, and accounting for proceeds. Amounts remaining after lawful deductions will be handled as the applicable law requires, including remittance to the appropriate authority when required.
Cargo does not automatically become JAX property after 30 days, 12 months, or any other period merely under these Terms. These Terms do not authorize an automatic private sale, destruction, scrapping, or title transfer. For unclaimed motor vehicles, JAX will use the applicable Georgia motor vehicle lien and abandonment procedure when legally available; warehouse remedies are used only where applicable and consistent with motor vehicle title law. The Customer remains responsible for charges that lawfully continue to accrue and for any legally recoverable deficiency.
23Suspension and termination
JAX may refuse a new order or suspend or terminate services for nonpayment, unsafe Cargo, unlawful instructions, insufficient documentation, or a material breach. It will provide reasonable written notice and an opportunity to resolve the problem when practicable, except where immediate action is needed for safety or legal compliance.
Termination does not release accrued charges, valid claims, or lawful lien rights. JAX remains subject to its legal duties concerning Cargo in its custody and will arrange lawful collection, release, or other disposition. Free-storage treatment for vehicles is determined by Section 11 and any written agreement; Company-initiated termination alone does not retroactively convert waived days into storage fees without a valid contractual or legal basis.
24Events beyond reasonable control
Neither party is responsible for failure or delay caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome, including severe weather, natural disaster, war, government restrictions, port closures, and labor disruption. The affected party must give practicable notice and take reasonable steps to mitigate the effects. This provision does not excuse JAX’s negligence or its continuing legally required care of Cargo, and does not cancel payment for services already performed or lawful third party charges.
25Records and communications
The Customer must retain the records required of it by export, tax, customs, and other applicable laws. JAX will retain records it is legally required to keep; it does not become the Customer’s general recordkeeping agent. The Customer should download available photographs and documents promptly. Client portal information and tracking dates reflect information available at the time and are not delivery guarantees.
Operational notices may be sent to the Customer’s email or portal contact supplied for the order. The Customer must keep contact information current. Statutory notices requiring certified mail, service, or another specific method will use that method; email does not replace it. Website privacy and data-processing matters are addressed in the applicable privacy policy. Electronic signatures and records may be used as permitted by law.
26Georgia law and dispute resolution
Georgia law governs these Terms and JAX’s separate yard-service relationship, without its conflict-of-law rules, except where federal law, maritime law, an applicable treaty, or other mandatory law controls. Subject to nonwaivable jurisdiction and venue rules, actions concerning these Terms must be brought in the state courts in Chatham County, Georgia, or the United States District Court for the Southern District of Georgia, Savannah Division. The parties consent to those courts to the extent lawful. A judgment may be enforced in another competent jurisdiction.
The parties should first attempt to resolve a dispute through written notice and a reasonable discussion. This does not require arbitration, prevent urgent court relief, or extend a claim or suit deadline unless expressly agreed in writing.
27Entire agreement and future changes
These Terms, the accepted quote, and any applicable written service or storage agreement form the agreement for the accepted services. Amendments require written or electronic acceptance by authorized representatives of JAX and the Customer. A revised website version applies only to future orders after the Customer receives clear notice through the portal and affirmatively accepts it using an unchecked agreement box and acceptance button. Existing account holders must complete that acceptance before placing a new order under the revised Terms. Posting a revision alone does not amend an accepted order or accrued storage obligation. The version accepted for an existing order continues to govern it unless the parties expressly agree otherwise in a legally effective manner.
If a provision is unenforceable, the remaining provisions remain effective to the extent lawful. A failure to enforce a provision once does not waive it later. Payment, lawful liens, claims, liability provisions, indemnity, and dispute-resolution provisions survive completion or termination to the extent relevant.
